1. Acceptance of Terms

Welcome to CouponBee ("we," "our," or "us"). By accessing, browsing, registering for an account, or using our marketplace platform at https://couponbee.in (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in full, you must not access or use the Platform.

2. Description of Service

CouponBee operates as an online marketplace that facilitates the buying and selling of discount coupons, promotional codes, and vouchers between independent users. We provide the technology platform that enables these transactions but do not:

• Issue, create, or own the coupons listed on the Platform (unless explicitly stated)
• Guarantee the validity, authenticity, or redeemability of any coupon
• Act as an agent, partner, or representative of any merchant or user
• Participate in or control transactions between buyers and sellers

3. Eligibility

To use CouponBee, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

4. Account Registration & Security

4.1 Account Creation

To access certain features of the Platform, you must create an account by providing accurate, current, and complete information. You agree to update your information as necessary to maintain its accuracy.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent Platform rules or restrictions is prohibited and may result in immediate termination.

5. User Conduct & Prohibited Activities

You agree not to engage in any of the following prohibited activities:

5.1 General Prohibitions

• Using the Platform for any illegal purpose or in violation of any laws
• Posting false, misleading, or fraudulent information
• Impersonating any person or entity or misrepresenting your affiliation
• Harassing, threatening, or intimidating other users
• Transmitting viruses, malware, or any harmful code
• Attempting to gain unauthorized access to any portion of the Platform
• Interfering with or disrupting the Platform's servers or networks

5.2 Seller-Specific Prohibitions

• Listing expired, redeemed, or invalid coupons
• Selling counterfeit, stolen, or fraudulently obtained coupons
• Misrepresenting coupon value, terms, or restrictions
• Engaging in price manipulation or fake transactions
• Soliciting buyers to complete transactions outside the Platform

5.3 Buyer-Specific Prohibitions

• Using coupons in violation of merchant terms
• Reselling coupons obtained through the Platform without authorization
• Making fraudulent chargeback claims
• Abusing the refund or dispute resolution process

6. Coupon Listings & Content

6.1 Seller Responsibilities

As a seller, you are solely responsible for all coupon listings you create. You warrant that:

• All information provided is accurate, complete, and not misleading
• You have the legal right to sell the coupons you list
• Coupons comply with all applicable laws and merchant terms
• You will honor all valid coupon sales completed through the Platform

6.2 Content License

By posting content on the Platform, you grant CouponBee a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with operating and promoting the Platform.

6.3 Content Moderation

We reserve the right to review, edit, or remove any content that violates these Terms or that we determine to be inappropriate, harmful, or objectionable, at our sole discretion.

7. Transactions & Payments

7.1 Transaction Process

All transactions are conducted directly between buyers and sellers. CouponBee facilitates the transaction but does not guarantee performance by either party.

7.2 Payment Processing

Payments are processed through our secure third-party payment processors. By using the Platform, you agree to comply with the terms of service of these payment providers.

7.3 Fees & Commissions

CouponBee may charge fees for using the Platform, including but not limited to listing fees, transaction fees, or subscription fees. All fees are disclosed prior to completion of any transaction and are subject to change with notice.

7.4 Refunds & Disputes

Refund policies are determined by individual sellers unless otherwise specified. In case of disputes, users must first attempt to resolve the issue directly. If unresolved, parties may submit a dispute to CouponBee for mediation, but we are not obligated to resolve any dispute.

8. Intellectual Property Rights

8.1 Platform Ownership

The Platform, including its original content, features, functionality, software, design, and trademarks, is owned by CouponBee and is protected by copyright, trademark, and other intellectual property laws.

8.2 User Content

You retain ownership of content you post but grant us the license described in Section 6.2. You represent that you have all necessary rights to grant this license.

8.3 Third-Party Marks

All merchant names, logos, and trademarks displayed on the Platform are the property of their respective owners. Their use does not imply endorsement or affiliation with CouponBee.

9. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers & Warranties

To the maximum extent permitted by law, CouponBee disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of any information on the Platform
• Warranties that the Platform will be uninterrupted, secure, or error-free
• Warranties regarding the quality, validity, or redeemability of any coupons
• Warranties regarding the conduct or performance of any user

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COUPONBEE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO COUPONBEE IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR ONE THOUSAND RUPEES (₹1,000), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless CouponBee and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or any coupons you list or sell
• Your transactions with other users

13. Termination & Suspension

13.1 By You

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease.

13.2 By CouponBee

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

13.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts in India.

14.3 Dispute Resolution

Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiations. If unresolved within 30 days, either party may pursue available legal remedies.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Platform after any revisions become effective, you agree to be bound by the revised terms.
